Our corporate experience extends beyond simply non-contentious transactional matters as we look after our clients through every stage of the company life-cycle. The commercial team advises owners, directors, in-house counsel and senior employees. All of our solicitors share the same common goal; to help any client business run as efficiently as possible. We have extensive experience across all areas of commercial law including logistics, agency, distribution, sales and marketing, manufacturing and franchising, outsourcing and offshoring, e-commerce, licensing and sales. Our commercial team combines sector and technical knowledge and expertise with the ability to craft innovative contractual solutions. Alston Asquith’s lawyers possess an astute understanding of the law and have the attention to detail to prepare and assess any form of commercial agreement. We operate across a broad number of sectors and advise companies on how to consistently make the right decisions to maximise their advantage and avoid risk. Whatever the scale and scope of the contract, our lawyers’ solutions will be realistic and effective. CORPORATE: Our Corporate team comprises lawyers who are natural dealmakers, problem solvers, and strategic thinkers. We advise entrepreneurs, company directors, investors and private equity funds on transactions that protect, increase and help them to realise value for their businesses. Whether you are buying, selling, starting or investing in a company, how the transaction is structured has enormous implications in both the short and the long term. Clever transactions minimise your risk and maximise your return. It is important to us that you get the most out of your deals and our approach is positive, transparent and tailored to your needs. We can provide practical corporate legal advice to help you set-up a new business, acquire or invest in an existing business, or sell your established business. We have acted for buyers, sellers and investors in a broad range of sectors. Our wide experience means we can offer valuable insights into the potential ‘drivers’ of the other parties. This allows us to anticipate some of the issues that may be faced during the course of a deal so we can maximise the value of your transactions, whilst minimising associated risks. Whatever the size or complexity of the transaction, Alston Asquith’s team of experts has the depth of experience and commercial acumen you need in a trusted corporate partner. DISPUTE RESOLUTION: Alston Asquith’s commercial disputes practice advises on all aspects of dispute resolution, with a particular focus on ownership, exploitation and infringement of intellectual property rights and commercial disputes in the technology sector. Our global dispute resolution and litigation teams are frequently instructed to deal with complex commercial and technology disputes and all of our lawyers are skilled in litigation, arbitration, investigations and alternative dispute resolution and will deploy that experience to help our clients to devise the best strategies suited for their individual needs. With significant experience resolving domestic and cross-border mandates, international arbitrations and investigations and enforcement for clients across all the key industry sectors including: emerging commercial technologies; telecommunications; core industries and markets; transport; and financial services. We help clients through the lifecycle of transactions, in particular at an early stage, on how to avoid getting into disputes. When disputes arise, we guide clients through pre-contentious negotiations and help them choose the best dispute resolution option. We begin every potential claim with a full strategic review. This involves an in-depth cost, risk, benefit analysis of the claim, considering the strengths and weaknesses of the case in detail before we would proceed. It is core to our philosophy that we only expect you to pay for what you value so finding out what you value is our starting point. Disputes should only end up in court if you decide that they should, so we offer alternative ways to get the result you want. Moreover, our proprietary cost-estimating and project management software allows transparency and predictability in our work execution against budget. Dispute Resolution Expertise Agency disputes Arbitration Banking and finance litigation Breach of fiduciary duties Contract disputes Commercial litigation Debt recovery Defamation Director’s duties Franchising disputes Fraud and asset recovery Insurance claims Intellectual property Injunctions IT and telecoms Mediation Partnerships and LLPs Professional negligence Product liability Taxation DATA PROTECTION: Every business needs an efficient information management system to operate effectively. Rigorous data protection laws, plus increasing regulatory and commercial pressure means that a clear understanding of the storage and use of information is fundamentally essential. The General Data Protection Regulation (GDPR) will come into force in May 2018, alongside a new regulation on ePrivacy, and all UK entities must understand the implications and comply with the rules if they provide goods, services or market to citizens of the European Union. This will continue to apply after the UK leaves the European Union. Given the wide range of subject matter with which it is concerned intellectual property law is not a single homogenous body of law; rather, the term is usually used to describe a number of areas of law typically including copyright law, patent law and trade mark law, each of which has its own distinct characteristics. While there are a number of differences between the various forms of intellectual property, one factor they all share in common is that they establish property protection over intangible things such as ideas, inventions, signs and information Alston Asquith’s lawyers advise a myriad of businesses from start-ups to offshore corporates, on the development, protection and enforcement of their intellectual property rights and in turn, enjoy the commercial benefits of our clear and cost-effective solutions. Aspire Hr Solutions Limited

Aspire Hr Solutions Limited

ASPIRE HR SOLUTIONS LIMITED Company number: 08942416 We are a small personal HR and OD consultancy, established in 2014. About Aspire HR We specialise in the provision of HR and OD expertise to businesses of all sizes including start ups, SMEs as well as large organisations in both the public and private sectors. About the Director Aspire HR Solutions was founded by Catherine Youds to provide flexible, affordable and bespoke HR support and solutions. It is based on developing and maintaining successful close working relationships with the organisations it supports, and recognises this as key. We are a small number of highly experienced HR and OD professionals. Catherine is a graduate of the University of West England, where she studied Business and Finance, and is a Fellow of the Chartered Institute of People and Development (MCIPD). She has gained over 20 years’ experience in all aspects of human resources in a variety of industry sectors, including the Private and Public sectors as well as SMEs. She wanted to use her enthusiasm and expertise for people management to support organisations who may not have their own internal HR function, or who require a specific project or piece of work. As a commercially aware HR professional, Catherine has never considered her role to be just HR and she has a wealth of general management experience, having been trained as a Graduate Management Trainee by Marks and Spencer, where she spent 8 years in a number of stores around the UK in HR Management roles, and 4 years at the M&S Call Centre. After joining the NHS in 2002, she has worked in a number of senior roles across all sectors of the NHS; several Acute hospitals, the Strategic Health Authority, Mental Health and Community Services. She has also supported many smaller companies in aspects such as developing a HR Strategy, implementing bonus schemes, TUPE and business restructuring. Catherine has a wealth of experience at working with Board members as the Director of People and Development where she developed and managed a specialist HR Business Partner and Employee Relations team, as well as a large multi-disciplinary shared services function. She is experienced in working in complex unionised environments and has developed effective partnerships with all Trades Unions. Aspire HR Solutions What we offer Aspire offers affordable, flexible and pragmatic solutions to all your people issues – whether you need operational HR guidance and support or a more strategic approach to supporting and growing your business. We offer a bespoke solution specific to your needs, not an off the shelf package or set of tools. Whether you are looking for help with a specific one off issue, or a longer term HR partner, Aspire can provide reliable, professional and personal HR solution. With over 20 years’ experience and expertise of working with businesses to help them achieve their vision and goals, and manage the risks associated with managing people and the mine field of employment law. This can be especially difficult in smaller organisations who don’t employ a full complement, or any HR professionals – Aspire offers a refreshing approach to your HR solutions – with a real can do positive attitude. Our core services: Employee Relations Managing your relationship with your staff can be one of the most challenging aspects about running a business. This can be even more complex if unions are involved. Handling your employees properly is not only good for business, but can also avoid costly and time consuming Employment Tribunals if things go wrong. Aspire can support and advise you on how to best manage your employees to maintain a good relationship, as well as helping you to resolve any issues should they arise. If you are just starting to work with Unions, then we can help you to work with Union Officers and Representatives to establish a formal arrangement for negotiation and consultation. Absence Management / Employee Well being From time to time, your staff may have unexpected and unplanned absence from work. If this becomes regular or excessive, we can help you to manage this properly, taking into account important legislation to make sure that you don’t fall foul of disability discrimination, and to support you to get people back to work as quickly as possible. Aspire can also help you to put in place well being strategies that support your employees, so that they can support your organisation. Investigations/ Disciplinary / Grievances A well-managed investigation into a grievance, conduct or capability matter or poor performance is essential to ensuring that matters are resolved as thoroughly and efficiently as possible. Maintaining the relationships of all parties is key and Aspire can work with you to support the whole process. Recruitment Whether you are looking to recruit one individual into your organisation, or large scale campaign, Aspire can manage this for you. We can offer support either from beginning to end, or around any stage of the process such as assessment centres or specialist interviews. Getting this process right is absolutely essential to make sure you get the right candidate for your business. The pre-employment checks such as references, and the interview process itself are key to ensuring a successful candidate is appointed, as well as making the right impression for potential applicants. Business Restructure / downsizing / growth / TUPE / redundancy Whether your organisation is growing, or if you need to downsize to maximise efficiency, Aspire can advise and support and advise you along the way with these complex aspects of managing people. Employee Engagement Whether you are looking to develop a strategy to engage with your workforce, or you want to carry out a series of focus groups to engage and involve your staff in an initiative, we can facilitate those for you. Often having an independent lead for these groups can encourage staff to open up about sharing their views, in a confidential environment. HR Strategy Development Aspire would work alongside you and your senior managers to understand the context of your business, and develop strategies that support the direction of travel that you want it to go in, by developing a HR / workforce strategy that sets the vision and approach to how you develop your organisation – through your people. Performance Management (Appraisal / Reward / incentive schemes) Managing your people well is key to organisational success. Whether you are just looking to introduce appraisal, enhance your existing process, or look more holistically at how you manage performance in your organisation, we can develop schemes that fit your organisation and where it’s at in terms of stage of development. Line Management Training Well trained and informed line managers are essential to your business. The relationship between your staff and their immediate manager is one of the most important aspects of running your organisation. Often, managers have become managers as a natural career progression and they do not have the necessary skills or experiences. Aspire can develop bespoke training to meet the individual requirements of your management team to support them in managing their people, as well as having access to a pool of expertise that can also support with coaching, mentoring and team building. Our Offer Aspire can offer you a flexible approach including: • Retained HR strategic support, working with you on a regular basis to manage the complexities of your business – our approach to this is flexible and can be tailored around your specific needs. • Ad hoc commissioned support to manage specific issues or projects such as developing your HR Strategy or policy, staff engagement and focus groups, people skills training for your line managers or short term interim support. Contact us We would love to hear from you and would be happy to offer an informal discussion about your HR requirements. RETAINED HR CONSULTANCY SERVICES OUR CORE SERVICES Aspire HR Solutions recognises that many clients find the benefits of a retained service more suited to their business requirements. By spreading the cost of your HR support over a fixed monthly fee, you can take advantage of HR support as and when you require it. This allows you to call, email or skype on any HR related matter - allowing you access to an expert HR Advice-Only package. We operate at all levels from basic HR advice, support and administration, to providing a complete professional HR service including employment law advice, restructuring, recruitment and investigations, should you need them (see our website for full details www.aspirehr.co.uk). We can work with you to establish what you need from your HR support, and how many hours per month you require for the retained advice service. With our retained service, we help you to identify the number of hours’ support that you require each month and this will then be translated into a fixed monthly cost for your HR consultancy services. The benefits of this approach mean that you can accurately budget for your HR support services. You can opt for either a single advanced payment, or a recurring monthly payment, based on an estimated level of demand for HR support. Our levels of service: Initial compliance audit An initial Health Check audit of all current employment documentation (contracts, terms and conditions, policies) is required at the start of the arrangement, to assess the level of compliance and a report of findings is prepared for consideration. The one-off cost for this audit is £500. Our basic HR support package includes the following benefits: • Dedicated, qualified, professional and Chartered HR contacts • An agreed number of hours of advice line support, guidance and employment law via email and telephone • HR administration, guidance on drafting letters, general communications up to the agreed number of hours included in the Agreement • Employment Law updates to keep you informed and aware of upcoming changes in legislation • Consultants covered by Professional Indemnity Insurance • Preferential rates offered to retained clients for additional hours and specialist pieces of work Cost for Retained HR Consultancy services: • The basic package will provide all the retained services outlined above, based on activity of an agreed number of hours per month dependant upon the number of staff and level of service required • Should additional hours be required in month for general HR advice, this will be agreed in advance with the Client before being worked by the Consultant Costs for specialist HR projects: • Occasionally, Clients request a specialist one off project or specific piece of work to be undertaken. The cost for specialist projects will generally be agreed with the Client prior to commencement, as this can help with budget planning • The rate for special consultancy projects is offered to Retained Clients at a reduced daily rate of £650. This is based on a 7 hour day. All fees are + VAT. Should you wish to discuss these or any other options or arrangements that may suit your business, please do not hesitate to contact: Catherine Youds, Director on catherine@aspirehr.co.uk or telephone 07901 794439 or via the website www.aspirehr.co.uk

Relationships: We partner closely with our business law immigration clients, supporting them not only with their application but with hiring talent, investing funds and complying with the duties and responsibilities of a Sponsor Licence. For example, we recently helped an international bank’s London branch to obtain a Sponsor Licence to enable recruitment of talent from an international office. We maintain close contact with this client, ensuring they are kept up to date with changes that could affect their compliance and advising them on further recruitment strategies. Our expertise in commercial and employment law allows us to provide a seamless service to our business immigration law clients, saving them considerable time and money. In-depth knowledge: Our team thrives on solving complex immigration law issues. We have been involved in many challenging Judicial Review and appeal cases involving Human Rights issues. This provides our clients with the security of knowing that we can advise and represent them from the beginning of their matter to the end. Connections: Our partners have developed robust connections with top barristers, wealth managers, financial advisors and business coaches. These relationships help us support our clients, many of whom have few contacts in the UK, by introducing them to advisors who can assist with investing funds, growing their business and getting the legal results they desire. In addition to our connections in the UK, we have associates throughout the Middle East, China, America, Australia and South East Asia. Business focused: Our clients enjoy the benefit of a seamless legal service when they instruct us on business immigration matters. Our registered European lawyer, Dr Lusine Navasardyan, has a wealth of expertise in commercial law and business immigration and in tandem with her Supervisor Najma Ali and the partners is a key driver of improving immigration law in the UK. We understand business and are committed to partnering with you long-term to help you achieve your commercial ambitions. Personal: We believe our business begins and ends with our clients. Our team is committed to providing the same exceptional service to everyone who contacts us, whether they are a multi-national company or an individual seeking entry into the UK. Having this attitude provides our clients with confidence that their personal and/or commercial legal matters are in the hands of a firm that addresses their unique needs and challenges rather than simply providing one-size-fits all immigration law advice. Our Story: After spending many years gaining experience and expertise in large London legal firms, founders Teni Shahiean and Oshin Shahiean set up OTS Solicitors in 2014. Alongside former immigration judge, Paul Gulbenkian they have successfully established a boutique law firm whose values of compliance, client service and legal excellence are well and truly entrenched. Through our global connections, we can provide both private client and commercial service in jurisdictions such as Australia, Armenia, Russia, Romania, Ukraine, North Africa, Middle East and China. With members trained in Lexcel Practice Management Standards and Client Care, OTS Solicitors has tailored these standards, so they impact every corner of our operation. This ensures our clients receive optimal service, satisfaction and value for money. Teni, Oshin and Paul have worked together for many years. This allows them to draw on each other's expertise when advising on matters providing exceptional, personalised service to every one of the firm's clients, no matter what their size or budget. Our Place in the Community: All our solicitors are committed to providing pro bono legal advice, services and advocacy within the wider community.

TDP Solicitors

TDP Solicitors

TDP Solicitors was built upon the key principle of providing unparalleled levels of service to all of our clients. We provide the highest level of service to all of our clients on an individual basis regardless of why we were chosen to act for them and what we are asked to do. We would consider it a failing should any client not be completely satisfied with the service we provide to them from start to finish. We have and will continue to make significant investments into the latest cutting edge technology, which will benefit our client in the speed at which we can start and finish acting for them and in terms of communication between us. Every client will have a dedicated person looking after their interests and will be supplied with their direct email address and direct telephone number (incorporating voicemail) to ensure that there are always several means of communicating in addition to the traditional methods of corresponding by letter and meeting face to face.

MrFinch Ltd

MrFinch Ltd

MrFinch is not your average Law Firm. Our manifesto is designed to disrupt the legal sector and the way it provides services to Business Owners. At MrFinch we do not believe in B2B or B2C; we believe in ‘people to people’ and people in business have, for too long, been left disillusioned by the lack of transparency, exibility and affordability of legal services. Our experience has shown that modern day business owners need and expect something different. We offer a pioneering service to business owners and appreciate the challenges that they encounter and the time constraints that they are often faced with. That is why our working day is as exible as our clients need it to be – if they need to talk to us outside of core working hours, that is what we will deliver. We only represent business owners. Our mission is to protect business owners and ensure that they bene t from long term relationships built around mutual trust. Our pro-active approach when engaging with business owners builds that trust, cohesion and belief. We give ‘business advice’ not just ‘legal advice’. In a nutshell, no matter what a business owners’ legal challenges might be, we can help. Guaranteed.
