The deal is almost done. The future looks bright. You just need an expert to draft an agreement that will make sure your future working relationship will be profitable for all.

I’ll draft your agreement so that you know where you’re going, the terms are clear and you stay in control.

Allow me to work with you and you’ll get:

1. 20 years’ experience as a commercial solicitor in a City law firm, local and national government and higher education. I draft, negotiate and advise on all types of commercial contract.

2. No staff and nothing is subcontracted. You’ll work with me from beginning to end. I won't hide behind emails and I will return your calls.

3. No templates. Contracts are written from scratch every time so they’re personal to you.

4. Fixed and transparent pricing. The meter isn’t running.

5. Specialist knowledge. I work exclusively for business clients.

The success of your business depends on maintaining good relationships with your customers and suppliers. Getting the terms of those relationships clear from the outset could save you a lot of trouble and heartache later on.

Bark away and let's agree your action plan!

I'm Simon Ward, Director of TECHNICAL TERMS. | Small print. Big experience.

Review of Technical Terms by Jan Pickles

Simon (Technical Terms) did a great job drawing up Terms and Conditions for my English Language teaching business. He is easy to work with and very thorough. I would recommend Simon to anyone who needs help with putting together Agreements and Ts and Cs, or anyone who has the basics, but may need legal advice.

Technical Terms Q&A

Technical Terms Q&A

What do you love most about your job?

The clients! Many have had poor experiences with traditional law practices and it's great when they return.

What inspired you to start your own business?

Having worked as a solicitor for 20 years I saw a gap in the market for a consultancy that provides high-quality contract drafting, negotiation and advisory services that provide a significant return on investment to clients.

Why should our clients choose you?

I won't simply send you a document and leave you to it. I will help you to minimise risk, maximise opportunity and maintain control of your business. I'll do this by listening to your needs, understanding the practicalities of the transaction and drafting a contract that reflects those aspects. I'll explain what I've done and how all the clauses work and amend anything you're not happy with. You'll have a document that will protect your interests - in court, if necessary.

Outsourcing success!

A local authority client was required by central government to reduce its yearly spend by 15%. Advised elected members on the legal viability of solutions (outsourcing) to reduce costs. Established a ‘change board’ to implement outsourcing programme; drafted pre-contract procurement documentation and strategic partner agreement for outsourcing up to 6 service areas; advised procurement team on avoiding challenges; and led negotiations with winning bidder. Succeeded in reducing the authority’s annual spend by £30M (15%) over 10 years.

Research & development

A university client wanted to commercialise a novel fingerprinting system created by a scientist. Drafted confidentiality framework for new innovations; led patent application; drafted collaboration agreement for R&D with 2 partner universities; negotiated royalty percentage with potential manufacturer, inventor and partner universities; and drafted licensing agreement. Succeeded in securing a 30% royalty on sales for the client.

Costs saving through reading the contract!

Bidder wanted to change the terms on a £400k managed print services contract 4 weeks before commencement. As commercial and IP solicitor, eliminated risk to enable timely engagement. Analysed contract documentation and terms; informed bidder of clear contract terms to be enforced; advised bidder that runner-up tender would be accepted; and convinced bidder to accept original terms. Succeeded in protecting client from up to £70K of additional costs per year.
