A financial model captures the vision of the business in numbers, it captures how the business creates its services and products, how customers find and use the services and products and how those services and products create revenue and costs. The end result is a set of operational metrics and financial statements that tell a credible story about what the business could become, it helps better strategic decision making explaining how much money the business needs and when, and it enables the business owners to experiment with different scenarios. A financial model also enables the business to tell a credible story to potential investors, a story about the opportunity, capital requirements, resource requirements, development and manufacturing costs, customer acquisition costs, how long it will take to acquire customers, growth and profits. What a financial model is not is a top down estimate of where the business will be, no one believes a model that is built to capturing “5% of the target market”. Building a financial model is typically not a strength for a professional accountancy firm that can audit and document historic financial statements, rather what the business needs is someone who has both the experience of growing and running a similar company, corporate finance experience and the analytical mindset to be able to help build the assumptions and model the business activities. Through its strategy service Orsatech has built hundreds of bespoke built five or ten year Excel® financial models using IFRS for SME or US GAAP accounting standards with standard investor colour coding and best practise to help traceability. Our models frequently illustrate the performance of marketing channels and customer acquisition costs as well as cash requirements, revenues and profits for the business and how that scales and grows over time. They frequently incorporate sensitivity analysis and financial analysis of return on investment and can also model production and inventory as required. We have helped hundreds of businesses guiding them through the indecisiveness of setting assumptions and projections and enabling them to give confidence to investors.
Pitch Decks and Investment Memorandum
The investor presentation, or business pitch, presented in PowerPoint® is different from a Word® based business plan. Often businesses believe a lengthy written business plan will sell their ideas to investors and enable them seek funding but it is the investor presentation that clearly and succinctly summarises the market opportunity in terms of size and growth, the problem and the business offering, the financial projections from a financial model, the team and the competition. An investor presentation is especially required for larger investment requirements where the business is looking to raise an investment of £200k+ up to £ millions. Our pitch presentations are investor friendly, are typically fifteen to twenty well thought out and planned slides, incorporate pictures and diagrams and avoid as much as possible bullet points to create more meaning and allow a potential investor to grasp a quick picture of the business. Investment Memorandum, or IM, is the legal document that a company presents when the company is looking for a majority sale or merger. Aside from the legal documentation the company will prepare an analysts presentation to explain the objectives, risks and investment terms. The presentation typically included financial statements, management biographies, company details, tends and forward looking strategy. Orsatech can offer a variety of services from helping write the non-legal elements of a prospectus through to writing analyst presentations.
Fund Raising and Due Dilligence
When organic growth does not provide the capital required to fund development, or to capture expansion opportunities, Orsatech will help you agree your commercialisation strategy and your options to manage shareholder value and raise external finance. From preparation for due diligence, corporate structure evaluation and identification of the best forms of funding, whether that is debt, equity, convertible loan notes, ICO, grants, SEIS or EIS funding, right on to connecting the business through to sources of funding and advice on shareholder structure and agreements. We will help close the round and let the entrepreneur focus on the business rather than worry about the bank account balance. When you buy or invest in a company you need as much detail about what you are investing in as possible. Our due diligence services investigate the attractiveness of a buy or investment, the possible future roadmap and help understand the possible pitfalls and risks.
